14. Limitation of Liability

To the maximum extent permitted by applicable law, MediaCraft shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, business opportunities, goodwill, or data
  • Business interruption or loss of business information
  • Cost of substitute goods or services
  • Damages resulting from unauthorized access to or use of our servers or any personal information stored therein

Our aggregate liability for all claims related to our services shall not exceed the total amount paid by you to MediaCraft in the twelve months immediately preceding the claim.

15. Exclusion of Consequential Damages

Under no circumstances shall MediaCraft be liable for any consequential, incidental, indirect, special, or punitive damages arising from or related to your use of our services, even if we have been advised of the possibility of such damages. This exclusion applies regardless of whether the claim is based on contract, tort, negligence, strict liability, or any other legal theory.

16. Force Majeure Provisions

MediaCraft shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, internet failures, or other force majeure events. During such events, our obligations will be suspended for the duration of the circumstances preventing performance.

17. Results and Performance

While we strive to deliver high-quality services, we do not guarantee specific results from our marketing services. Marketing outcomes depend on numerous factors including market conditions, competition, your business model, budget allocation, timing, and audience response—many of which are beyond our control. Any projections, estimates, or examples of results are for illustrative purposes only and should not be relied upon as guarantees of future performance.

Legal Information and Dispute Resolution

18. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these terms or your use of our services shall be brought exclusively in the competent courts of Cyprus. You irrevocably consent to the jurisdiction of such courts and waive any objection to venue.

19. Dispute Resolution Procedures

In the event of any dispute, controversy, or claim arising out of or relating to these Terms and Conditions, the parties agree to first attempt to resolve the matter through good faith negotiations. You agree to provide written notice of any dispute and allow thirty days for informal resolution attempts before initiating formal proceedings. If informal resolution fails, disputes shall be resolved through the courts of Cyprus as specified above.

20. Severability Clause

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent. If modification is not possible, the provision shall be severed from these terms, and the remaining provisions shall continue in full force and effect.

21. Waiver

No waiver of any provision of these Terms and Conditions shall be deemed or constitute a waiver of any other provision, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by MediaCraft. Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision.

22. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms and Conditions without our prior written consent. Any attempted assignment without consent shall be void. MediaCraft may assign its rights and obligations under these terms at any time without notice to you, including in connection with a merger, acquisition, or sale of assets.

23. Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any specific service agreements or proposals, constitute the entire agreement between you and MediaCraft concerning your use of our services. These terms supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and MediaCraft.

24. Amendments and Modifications

MediaCraft reserves the right to modify these Terms and Conditions at any time. We will provide notice of material changes by posting updated terms on our website with a revised "Last updated" date. 25. Survival
